These Terms of Service (“Agreement” or “Terms”) are a legally binding agreement between you (the “User,” “you,” or “your”) and RAIN Platforms (“RAIN Platforms,” “we,” “us,” “our”). You acknowledge and agree that your use of the RAIN Platforms platform (the “Platform”) through RAIN Platforms’ website at https://www.tradingleagues.app/ (the “Website”) and RAIN Platforms’ mobile application (the “App”) will be governed by this Agreement, our Privacy Policy, Terms of Use, and any related terms.
Your use of our Website, App, or Platform shall constitute your acceptance of this Agreement and to all of the terms and conditions stated under this Agreement and our Privacy Policy referenced herein. PLEASE READ THE TERMS CONTAINED IN THIS AGREEMENT CAREFULLY TO ENSURE THAT YOU UNDERSTAND EACH PROVISION. PLEASE NOTE THAT THESE TERMS CONTAIN A BINDING AND MANDATORY ARBITRATION PROVISION AND CLASS ACTION/JURY TRIAL WAIVER PROVISION THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS AND LIMITS REMEDIES AVAILABLE TO YOU IN THE EVENT OF CERTAIN DISPUTES.
BY ACCEPTING THIS AGREEMENT, EITHER BY CLICKING A BOX INDICATING YOUR ACCEPTANCE OR BY USING AND NAVIGATING THROUGH OUR PLATFORM, WEBSITE, AND/OR APP, YOU AGREE THAT (A) YOU HAVE READ AND UNDERSTOOD THE AGREEMENT; (B) YOU REPRESENT THAT YOU ARE AT LEAST 18 YEARS OLD; (C) YOU CAN FORM A BINDING CONTRACT; AND (D) YOU ACCEPT THIS AGREEMENT AND AGREE THAT YOU ARE LEGALLY BOUND BY ITS TERMS AS WELL AS OUR PRIVACY POLICY REFERENCED HEREIN. FURTHERMORE, YOU HEREBY CONSENT TO THESE TERMS OF SERVICE, INCLUDING, WITHOUT LIMITATION, THE WAIVER OF THE RIGHT TO A TRIAL BY JURY AND/OR TRIAL BY COURT AND CONSENT TO ARBITRATE ANY CLAIM HEREWITH UNDER THE ARBITRATION CLAUSE SET FORTH HEREIN. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY AND ITS AFFILIATES TO THESE TERMS AND CONDITIONS, IN WHICH CASE THE TERMS “YOU” OR “YOUR” SHALL REFER TO SUCH ENTITY AND ITS AFFILIATES. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THIS AGREEMENT, YOU MUST NOT ACCEPT THIS AGREEMENT AND MAY NOT USE OUR WEBSITE, APP, OR PLATFORM. Capitalized terms not defined herein shall have the same meaning ascribed to them under our Privacy Policy.
INTRODUCTION TO RAIN PLATFORMS AND CERTAIN DEFINITIONS
RAIN Platforms is on a mission to redefine how the average user interacts with the financial markets through the power of gamification. RAIN Platforms’ online platform which hosts skill-based games (“Games”). Depending on the jurisdiction, RAIN Platforms offers two categories of games:
Paid Games: Paid Games are those games where Players pay an Entry Fee, as defined in our Terms of Service, and if successful Players will be able to play and participate and win cryptocurrency in skill based Games (“Winnings”). PLAYERS RESIDING IN RESTRICTED ARES SUCH AS THE UNITED STATES WILL NOT BE ALLOWED TO PLAY PAID GAMES.
Free Games: Players in certain Restricted Ares such as the United States of America will only have access to the unpaid or free version of our Games (“Free Games”). Players of Free Games will not have to pay any entry fee and will be ineligible to make any Winnings. The provision of such Free Games are solely for entertainment and educational purposes.
For the purposes of these Terms,
“Prize Pool” means the total amount of pre-specified contribution contributed per Paid Game per round by all Players participating in that round after deducting the Platform Fees. The Prize Pool will be awarded to the Winner(s) of the Paid Game after the completion of the Paid Game as per its terms and conditions.
“Entry Fee” or “Pre-Specified Contribution” means the amount each Player must add to the Prize Pool to be allowed to participate in a Paid Game.
“Free Games” mean Games that do not have a Prize Pool and do not require Users to deposit any Pre-Specified Contribution in order to play such Games.
“Paid Games” mean Games for which each Player must deposit the applicable Pre-Specified Contribution, which shall become part of the Prize Pool, to be allowed to compete in such Game.
“Platform Fees” mean the amount charged by RAIN Platforms to all Players of a Paid Game as a fees for providing its Platform and related services (collectively, the “Services”) to Users.
“Players” means Users that compete in any round of any Paid Game.
“Restricted Areas” mean the United States of America. This list of Restricted Areas may change from time to time and you are advised to peruse the Terms from time to time to apprise yourselves of the updated list.
“Sensitive Personal Information” means Personal Information that reveals: (i) user’s social security, driver’s license, state identification card, or passport number; (ii) user’s Account log-in, financial account, debit card, or credit card number in combination with any required security or access code, password, or credentials allowing access to an Account; (iii) user’s racial or ethnic origin, religious or philosophical beliefs, or union membership; (iv) contents of a user’s mail, email, and text messages unless we are the intended recipient of the communication; (v) user’s genetic information; (vi) biometric information’ (vii) health related Personal Information collected and analyzed concerning a user’s health; (viii) information concerning a user’s sex life or sexual orientation or (ix) citizenship or immigration related information.
“Wallet” means a limited purpose electronic wallet on our Platform associated with the account or profile of each User.
“Winner” means the User of a Game that, in accordance to the rules of the Game, wins the Game and in a Paid Game is entitled to the Winnings.
“Winnings” mean the total amount of the Prize Pool that is added to the Wallet of the Winner of a Paid Game.
“Withdrawal Processing Fee” means the fees charged by RAIN Platforms to facilitate withdrawals from Wallets when requested by Players.
TERRITORIAL RESTRICTION
Our Website, App, and Platform are only available for use in certain jurisdictions. However, our offerings in each jurisdiction may differ based on the applicable laws and regulations of such jurisdiction. You must comply with these Terms of Service, Terms of Use, and our Privacy Policy and the local laws at your place of Residence. PRIVACY POLICY
Our Privacy Policy describes how we handle the Personal Information you provide to us when you create an Account for our Website, App, or Platform. WE COLLECT, PROCESS, USE, AND STORE PERSONAL INFORMATION AS DEFINED IN OUR PRIVACY POLICY. You understand that through your use of our Website, App, or Platform, you consent to the collection and use (as set forth in the Privacy Policy) of this Personal Information, including the transfer of this information to the US, and/or other countries for storage, processing and use by RAIN Platforms, its holding, subsidiary, and group companies, our affiliates, and third-party service providers.
ELIGIBILITY
General Eligibility. To be eligible to use our Website, App, or Platform, you must meet the following criteria and represent and warrant that you: (a) are 18 years of age or older; (b) are not currently restricted from accessing our Website, App, or Platform, or not otherwise prohibited from having an Account, (c) are not our competitor, or are not using our Website, App, or Platform for reasons that are in competition with us; (d) will only maintain one registered Account per registered mobile number at any given time; (e) have full power and authority to enter into this Agreement and doing so will not violate any other agreement to which you are a party; (f) will not violate any of our rights, including intellectual property rights such as patent, copyright, and trademark rights; and (g) agree to provide at your cost all equipment, browser software, and internet access necessary to use our Website, App, or Platform.
Restricted Area Related Eligibility. Users may access the Free Games if they are so made available on RAIN Platforms, regardless of their state of residence. USERS CANNOT ACCESS AND PLAY PAID GAMES IF THEY ARE RESIDENTS OF OR OTHERWISE ACCESSING OUR PLATFORM FROM A RESTRICTED AREA. All Users must ensure their device location settings are enabled to allow RAIN Platforms to ensure Restricted Area related eligibility.
ACCESS
Accessing our Website and App: You can access and use our Website at https://www.tradingleagues.app. Our App can be downloaded from our Website or, in some jurisdictions, through the Google Play Store or Apple App Store.
Account Creation: To use our Services and play any Games on our App, you must create an account on our Platform (“Account”). To create an Account, you will have to provide us with (a) an authentic personal mobile number (“Registered Mobile Number”), (b) you name, (c) your email address, and (d) the country you are located in. Upon successful authentication and acceptance of our Policies, your Account will be considered as set up. You can enter further information about yourself, including your photograph and audio files and other Personal Information as identified in our Privacy Policy on your Account related Profile at any time (“Account Information”).
Verification. As required by our verification policies, that may be updated from time to time, or in accordance with our KYC Partners’ request, Players who participate in Paid Games must undergo a verification process (“Verification”). USER UNDERSTANDS AND AGREES THAT RAIN PLATFORMS IS NOT RESPONSIBLE OR LIABLE FOR LAPSES IN THE VERIFICATION PROCESS. PLEASE REFER TO OUR KYC PARTNER’S POLICIES TO UNDERSTAND WHAT VERIFICATION INFORMATION IS COLLECTED, HOW THE VERIFICATION INFORMATION IS PROCESSED, STORED, AND DISCLOSED, FOR HOW LONG THE VERIFICATION INFORMATION IS RETAINED, AND YOUR RIGHTS WITH RESPECT TO SUCH VERIFICATION INFORMATION. IT IS EXPRESSLY CLARIFIED AND USER UNDERSTANDS THAT RAIN PLATFORMS IS NOT RESPONSIBLE OR LIABLE FOR ANY HANDLING, USE, PROCESSING, STORING, DELETING, OR DISCLOSURE OF SUCH KYC INFORMATION. While RAIN Platforms relies primarily on our KYC Partner’s OFAC and global sanctions screening processes, RAIN Platforms also (a) maintains records of transactions and compliance efforts; (b) has an internal compliance program under which international transactions are screened against OFAC lists, and (c) regularly trains employees on OFAC regulations and compliance procedures.
Security of your Account Information: You agree that all information you provide is true, accurate, current and complete, and you agree to maintain and promptly update such information to keep it current. You may not transfer or share your Account Information with anyone. You are responsible for maintaining the confidentiality of your Account Information and for all activities that occur under your Account. You agree to immediately notify us upon becoming aware of any unauthorized use of your Account Information. RAIN Platforms reserves the right to take any and all action, as it deems necessary, regarding the security of our Service and your Account Information. Under no circumstances shall RAIN Platforms be held liable to you for any liabilities or damages resulting from or arising out of your use of our App, your use of the Account Information, or your release of the Account Information to a third party.
Use of Information: We collect Personal Information (as per in our Privacy Policy), at the time of Account Creation, Verification or in the course of your use of our Services. This Personal Information is necessary for us to provide our App to you and is stored on our servers to enable us to continue to provide our App to you. Upon your written request made in a form and manner we require, we will provide you with a list of all of the Personal Information that we store on you within thirty (30) days of receiving your request. Also, upon your prior written request made in a form and manner we require, we will delete any such Personal Information as per our Privacy Policy within thirty (30) days of receiving your request. Notwithstanding, please note that, if you ask us to delete all such Personal Information, we will not be able to continue to provide our Services, Website or App to you. YOU OWN, OR UNDERTAKE THAT YOU ARE AUTHORISED TO USE, ANY INTELLECTUAL PROPERTY IN ANY INFORMATION AND USER DATA YOU PROVIDE, UPLOAD, SHARE, TRANSMIT OR OTHERWISE MAKE AVAILABLE TO OR FROM, OUR SYSTEMS OR USING OUR SERVICES. YOU GRANT US A WORLDWIDE, ROYALTY-FREE LICENCE TO USE, STORE, BACK-UP, COPY, TRANSMIT, DISTRIBUTE, COMMUNICATE, MODIFY AND OTHERWISE MAKE AVAILABLE, SUCH INFORMATION AND USER DATA, SOLELY FOR THE PURPOSES OF ENABLING YOU TO USE OUR SERVICES AND FOR ANY OTHER PURPOSE RELATED TO PROVISION OF THE SERVICES TO YOU AND THEM.
PAYMENT AND USE OF THE WALLET
THIS SECTION 6 ONLY APPLIES TO PLAYERS OF PAID GAMES. USERS WHO PLAY FREE GAMES MAY ACCESS OUR WEBSITE AND APP FOR FREE AND PLAY FREE GAMES IN ACCORDANCE WITH OUR TERMS WITHOUT MAKING ANY PAYMENT TO RAIN PLATFORMS.
Using the Wallet. Each Player of any Paid Game may use and maintain a Wallet on our Platform, The Wallet may be used as follows:
Wallet Amount. The amount reflected in a Player’s Wallet (“Wallet Amount”) shall be divided into sub-wallets:
Total Balance: Players may add cryptocurrency to their Wallets (“Deposits”) by using our third-party payment processors via any payment methods accepted by such third-party payment processors. Amounts remitted by Players through designated third-party payment processors are credited to the Player’s Wallet. Total Balance refers to the total sum of the Deposits and the Winnings. Total Balance may be used by Players as Pre-Specified Contribution to play Paid Games or may be Withdrawn as explained below.
Winnings: All Winnings for Paid Games shall be automatically added to a Player’s Wallet and be reflected in the Wallet. Winnings may be Withdrawn by Players in accordance with these Terms. The Winnings may be Withdrawn subject to the minimum withdrawal limit that is dependent on the mode of withdrawal and also the currency/cryptocurrency of withdrawal and is notified on the application from time to time.
Affiliate Balance: The Affiliate Balance is earned by a Player through certain referral and affiliate activities, that may be offered on our Platform, in our sole discretion from time to time. The Affiliate Balance may be Withdrawn subject to minimum limits, maximum limits , minimum and maximum frequency of withdrawals and CANNOT be used as Pre-Specified Contribution to play Paid Games.
Withdrawals. The Winnings may be withdrawn, in whole or in part (“Withdrawal”) by a Player by selecting “Withdraw” in your Wallet. A Player is permitted to Withdraw the Winnings credited into such Player's Wallet by making a written request or a request on the Platform in the form and manner RAIN Platforms requires. The Withdrawals will be subject to the following restrictions:
The minimum amount per Withdrawal, maximum amount per Withdrawal and the frequency of Withdrawals are limited and available here.
If (i) no cryptocurrency wallet has been registered by the Player against such Player's Account with RAIN Platforms, or (ii) the Player has not verified their Player Account with RAIN Platforms to RAIN Platforms’ satisfaction, and in accordance with these Terms, RAIN Platforms will provide such Player with a notification to the Player's email address as maintained in RAIN Platforms’ records, and if the Player fails to register a complete the necessary registrations and verifications by the request date, the Wallet Amount shall be forfeited in accordance with this clause.
All Withdrawals will be subject to Processing Fees and applicable deductions.
The Withdrawal will be processed by our third-party payment processors and the Withdrawable amount will be reflected in the account with your Wallet within 2-14 days.
Withdrawals can only be made if the Withdrawable Amount and the Withdrawal exceeds limits that may be specified by RAIN Platforms from time to time (“Minimum Withdrawal Amount”).
Validity of Wallet Amount. Wallet Amounts must be utilized within a certain number of days of credit ("Use Period")
Deposits that are not utilized are valid for a period of 180 days after the initial deposit is made will expire and may be NOT be Withdrawn and CANNOT be used as Pre-Specified Contribution thereafter. to play Paid Games.
Winnings will expire if an account is no Paid Games are played by the Player for a period of 30 days.
If any unutilized amount lies in the Wallet after the completion of the Use Period, RAIN Platforms reserves the right to forfeit such unutilized amount, without liability or obligation to pay any compensation to the Player.. If any unutilized amount lies in the Wallet after the completion of the Use Period, RAIN Platforms reserves the right to forfeit such unutilized amount, without liability or obligation to pay any compensation to the Player.
c. Fees to Access our Website, App, and Platform. Our Website, App, and Platform are currently provided to you at no cost. In the event that we change this in the future, we will communicate such modification to you as per the procedure detailed under Section 19 or as otherwise specified in another agreement between RAIN Platforms and you.
d. Other Fees. Certain features, and Games on our Platform require the payment of fees to be accessed and used by a Player. They are described in this Section and are collectively referred to as “Fees”. Fees will automatically be deducted from your Wallet.
e. Pre-Specified Contribution. Each Paid Game has a Pre-Specified Contribution associated with it. Each Pre-Specified Contribution shall be deducted from the Wallet of the Player when such Player selects the option of paying the applicable Pre-Specified Contribution. Only upon payment of the Pre-Specified Contribution shall the Player be deemed a Paying Player of that Paid Game and be allowed to play and participate in that Paid Game. The Pre-Specified Contribution deposited by each Paying Player of a Paid Game shall be added to the Prize Pool for that Paid Game. The Prize Pool for each Game shall be transferred to the Wallet of the Winners of the Paid Game. Each time a Paying Player participates in any Paid Game on the Platform, the Pre-Specified Contribution is debited in the first instance, from the Player’s Wallet. In case there is any amount remaining to be paid by the Paying Player in relation to such Paying Player’s participation in any Paid Game, the Paying Player is directed to the designated payment processors to make such payment. In case any amount added by the Paying Player through such payment processor exceeds the Pre-Specified Contribution, such excess amount will be transferred to the Paying Player’s Wallet and will be available for use in participation in any Paid Game or for Withdrawal in accordance with these Terms. Debits from the Wallet to enable a Paying Player’s participation in a Paid Game are made in order of the date of credit of amounts in the Wallet, and accordingly amounts credited into the Wallet earlier in time are debited first. RAIN PLATFORMS HAS NO RIGHT OR INTEREST IN THIS PRIZE POOL, AND ONLY ACTS AS AN INTERMEDIARY ENGAGED IN COLLECTING AND DISTRIBUTING THE PRIZE POOL IN ACCORDANCE WITH THE PAID GAME TERMS AND CONDITIONS
f. Withdrawal Processing Fee(s). RAIN Platforms charges a Withdrawal Processing Fee, to facilitate Withdrawals for the Players. The Withdrawal Processing Fees is calculated at a rate determined by RAIN Platforms, in its sole discretion, and may vary for different Players. Withdrawal Processing Fees are charged each time a Player makes a Withdrawal.
g. Taxes. The Fees are exclusive of any sales tax applicable which shall be payable by you at the rate and in the manner prescribed by law.
h. Changes. We may change our Fees for any and all Services. Such changes will be reflected on our Website and App and Players are advised to continually monitor the same. Your continued use of our Website, App, Platform or Services shall show your consent to the changed Fees.
i. Errors. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment. If you believe that your Wallet has been charged incorrectly, you must contact us within thirty (30) days of receiving such an invoice or notification related to the incorrect billing at support@tradingleagues.app to help us resolve such disputes
GAMES
Legality of Skill-Based Gaming. The games hosted on the Platform, and made available to you, are all games of skill. While each game may feature a different level of skill element, and the threshold may vary, each game will be governed by the skill set you demonstrate to play and achieve the outcome. Games of Skill are allowed to be played for real money, barring certain prohibitions, restricted across certain states, where we disallow you from accessing our Services, either in part or in full. Games of skill are not considered gambling because the generally accepted definition of gambling involves three specific things: (1) the award of a prize, (2) paid-in consideration (meaning entrants pay to compete) and (3) an outcome determined on the basis of chance. Without all three of these elements, a competition that reward real prizes is not gambling. IN THE CASE OF OUR GAMES, OUTCOMES ARE NOT DETERMINED BY CHANCE, BUT ARE RATHER ACHIEVED THROUGH A PLAYER’S SKILL OR ABILITY, MAKING THESE TOURNAMENTS LEGAL IN MOST U.S. STATES.
Free Games. Users are permitted to access the free to play versions of all games, if they are so made available on RAIN Platforms, regardless of their state of residence.
Misrepresentation and Fraud. In case you participate in any Game by misrepresentation or fraud, including but not limited to by use of VPN services, we in our sole discretion may disqualify you at any stage of the process, withhold any Winnings and take legal action against you. If you are found or suspected to be defrauding the systems of the Platform in any manner then (a) you will be debarred from participating in all Games and (b) we may take legal action against you.
Reservation of Rights. RAIN Platforms reserves the right to withdraw or discontinue or terminate any Game at any stage without prior notice and without any liability whatsoever to you. In any Paid Game on the Platform, in case of a draw/tie, the final decision would be that of RAIN Platforms, and you will not be entitled to any refunds in such a situation. RAIN Platforms reserves the absolute right to determine (i) the format and Rules of any Game; (ii) Winnings and prize structure; (iii) selection of Winners in case of a draw/tie, or a dispute; and, (iv) manner of disbursal of Winnings, rewards, gifts and other redemptions.
Game Rules. Each Game available on the Platform will be governed by the specific set of rules which are featured against each game (“Rules”), and we urge you to peruse the same before accessing them.
Multiple Accounts. If RAIN Platforms is made aware that a User has created more than one Account with RAIN Platforms, it may (a) restrict your use of the Services, (b) block, restrict, or forfeit any amounts, Winnings, or privileges that you may have received on the Platform, or that have otherwise been given to you, and (c) pursue legal action against you.
Breach of Terms. In the event any user breaches, or RAIN Platforms reasonably believes that such User has breached these Terms, or has illegally or improperly used Services, RAIN Platforms may, at its sole and absolute discretion, and without any notice to the user, restrict, suspend or terminate such user's Account and their access to all or any part of Services, and take such legal action as may be necessary.
Logging Out. Users agree to log-out of their Accounts at the end of each session to safeguard their Account Information and their Wallets. RAIN Platforms will not be responsible for any loss or damage that may result if the User fails to comply with these Terms.
Responsible Gaming Policy. Users agree that they have read and understood our Responsible Gaming Policy available at https://www.tradingleagues.app/legal/responsible-gaming agree that they will comply the same when using our Platform and playing our Games.
